Terms of Service

Effective Date: February 2026

These Terms of Service (“Terms”) govern the use of Caracal Lite (the “Software”). By installing or using the Software, you agree to these Terms.

1. License Grant

Caracal Lite grants the subscriber a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a single storefront per active subscription.

The license does not permit sublicensing, resale, redistribution, or multi-store deployment without an applicable enterprise agreement.

All intellectual property rights in the Software remain exclusively owned by Caracal Lite.

2. Subscription & Usage

2.1 Lite Version

The Lite version is provided on a fixed-rate monthly subscription basis and includes unlimited runtime request volume within a single authorized storefront.

2.2 Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code
  • Modify, alter, or interfere with the runtime logic
  • Bypass technical safeguards or execution integrity mechanisms
  • Deploy the Software in a manner inconsistent with platform policies

Unauthorized modification or misuse immediately voids the license.

3. Stateless Operation Disclaimer

Caracal Lite operates entirely in volatile client-side memory and does not collect, store, transmit, or process merchant or customer data.

The Software functions solely as a defensive runtime layer and does not act as a data controller, data processor, or subprocessor.

4. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

Caracal Lite does not guarantee prevention of all present or future middleware interference techniques.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Caracal Lite’s total liability arising from or related to the Software shall not exceed the subscription fees paid by the subscriber during the one-month period preceding the claim.

In no event shall Caracal Lite be liable for:

  • Indirect or consequential damages
  • Loss of revenue or profits
  • Business interruption
  • Data loss

6. Termination

Caracal Lite may suspend or terminate access if:

  • These Terms are violated
  • The Software is used in a harmful, abusive, or unauthorized manner
  • Required by applicable law

Upon termination, all rights granted under these Terms immediately cease.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM), without regard to conflict of law principles.
